Cyprus Holding Company: How It Works

A holding company is an ordinary Cyprus company that owns shares. Its appeal lies in what happens to money at three points: when it comes in, when you sell, and when it goes out.

Short answer

A Cyprus holding company is a resident company that owns shares in other companies. Dividends received are generally exempt from the 15% corporate tax, gains on selling shares are exempt, and dividends paid to non-residents generally carry no withholding tax. These results depend on real management, anti-avoidance tests and the rules in the owner's home country.

How does the money flow through it?

Follow the cash through three points, because each one has its own rule and its own exception. There is no separate legal form called a holding company. It is a private company limited by shares, formed the normal way, whose main asset is shares.

Point The general rule What can change the result
Money in: dividends from subsidiaries Exempt from corporate tax Taxable if the payer deducted the dividend. Special Defence Contribution (SDC) of 5% if the foreign payer fails the two-part test
Exit: selling a subsidiary Gains on shares are exempt, wherever the company is Gains linked to Cyprus property can fall under 20% capital gains tax
Money out: dividends to owners No withholding tax to non-residents as a general rule Withholding may apply to EU-blacklisted and low-tax jurisdictions

If you are comparing locations, our Cyprus vs Malta vs Estonia guide sets those rules side by side. For the full list of rates, see the Cyprus corporate tax rate page.

When is a foreign dividend not exempt?

Two tests apply to dividends from foreign companies, and they catch different problems.

The deduction test. If the paying company deducted the dividend for its own tax, the dividend is taxed in Cyprus at the corporate rate. It is then exempt from SDC.

The passive and low-tax test. A dividend that was not deducted is exempt from SDC unless both of these are true: more than 50% of the payer's activities directly or indirectly produce investment income, and the foreign tax is significantly lower than Cyprus tax, meaning an effective rate below 7.5%. That threshold was 6.25% through 2025.

So a trading subsidiary passes easily. An investment company in a low-tax jurisdiction may not.

Illustrative dividend of EUR 500,000 Corporate tax SDC Cyprus tax
From a trading subsidiary Exempt Exempt Nil
From a passive subsidiary taxed at an effective 5% Exempt 5% EUR 25,000, before credit for foreign tax

Foreign withholding tax can be credited against that 5% even without a tax treaty.

What about tax in the subsidiary's country?

Check the country paying the dividend, because Cyprus cannot control that side. Within the EU, the Parent-Subsidiary Directive exempts qualifying distributions from withholding tax where the parent holds at least 10% of the capital and the other conditions are met. The directive does not stop national rules against fraud and abuse. Outside the EU, you rely on the tax treaty between Cyprus and that country, if there is one.

What does the company cost you in tax terms?

Exempt income brings some restrictions of its own. Plan for these four items, because they tend to appear only once the structure exists.

  • Interest on acquisition debt. Interest on loans that finance tax-exempt income is generally not deductible during the first seven years of ownership. PwC lists an exception for buying 100% of a directly or indirectly trading subsidiary, unless it is in an EU-blacklisted jurisdiction, so model it before you borrow at holding level.
  • Transfer pricing. Transactions between related parties must be at arm's length. Every taxpayer with controlled transactions files a summary table with the tax return, and a local file may also be needed above set thresholds.
  • Audit and filings. The company files like any other, even with no trading activity.
  • Property-rich subsidiaries. Capital gains tax now reaches indirect holdings where at least 20% of the share value comes from Cyprus property, down from 50% before 2026.

Three reliefs can help. The notional interest deduction on new equity remains listed in PwC's summary, capped at 80% of the taxable profit generated by the activities financed by the new equity. Group relief lets losses move between companies with a 75% ownership link. A Cyprus company can also rely on Cyprus's tax treaties, subject to each treaty's terms.

Does a holding company need real substance?

Yes, in three different ways, and each is tested by someone else.

The Tax Department treats a Cyprus-incorporated company as resident by default unless a treaty says otherwise. The general anti-abuse rule disregards arrangements put in place mainly for a tax advantage that lack valid commercial reasons. Directors who meet, decide and sign in Cyprus make the position easier to defend.

The bank will test the company against its definition of a shell. The Central Bank's 2025 directive helps here, because it says a company set up to hold shares in another business engaged in legitimate activity, with identifiable owners, may indicate real business activity. That does not guarantee acceptance. You will still need to explain the group, and the bank application needs preparing like any other.

Your home country has the last word on you. Many countries tax their residents on companies they control abroad, and some treat a foreign company as resident if it is really run from there. Cyprus has its own controlled foreign company rules too, which apply to low-taxed foreign companies held more than 50% by a Cyprus taxpayer.

Should you use one?

Use this as a first filter, then take advice in each country involved.

A Cyprus holding company is likely to fit if:

  • You own, or plan to own, several operating companies and expect to sell one one day.
  • You or senior management are based in Cyprus, or will be.
  • Your subsidiaries are trading businesses and not passive investment vehicles.
  • Your group is large enough for the yearly cost of audit and compliance to be justified.

It is likely to be a poor fit if:

  • You hold one small company, and the structure adds cost without a clear benefit.
  • You will run everything from a high-tax country and have nobody in Cyprus.
  • Your subsidiaries are mainly passive and lightly taxed.
  • Most of your value is Cyprus property.

If your group is moving people here, also weigh the practical side of starting a business in Cyprus. Writing a one-page structure chart, with the country and activity of each company, is the most useful next step. Take it to a Cyprus lawyer, who can tell you what would need to be true for it to work. Our company launch service covers the online side once the structure is settled.

Frequently asked questions

How much does it cost to form a Cyprus holding company?

The official fees are the same as any private company, EUR 175 in total. Expect more legal work on the articles and on any shareholder agreement. The yearly cost of audit and compliance applies even when the company only holds shares.

Do I pay tax when a Cyprus holding company sells a subsidiary?

Gains on shares and similar titles are exempt from corporate tax, wherever the subsidiary is located. The exception is Cyprus property. Gains on shares in companies holding Cyprus property can fall under capital gains tax at 20%.

Are dividends paid by a Cyprus holding company taxed?

Generally there is no withholding tax on dividends paid to non-residents. Exceptions cover EU-blacklisted and low-tax jurisdictions, so check the recipient. A Cyprus-resident, Cyprus-domiciled individual pays Special Defence Contribution, which is 5% on profits earned from 2026.

Can a holding company with no staff get a bank account?

It can apply. The Central Bank's directive says that holding shares in a legitimate business with identifiable owners may indicate real activity, so the holding purpose is not fatal. The bank still decides on risk, and no one can guarantee an account.

Does a Cyprus holding company need to file accounts?

Yes. It files an annual return with financial statements, like any other company, and tax returns are based on audited or reviewed accounts. Doing little trading does not remove these duties, so budget for them each year.
