How to Start a Prop Firm
A plain guide for founders of evaluation-style prop firms. The law here is unsettled, so this page says where things are clear and where they are not.
Short answer
To start a prop firm, decide whether traders use simulated or live capital, take legal advice for every target country, form a company, license the trading and evaluation technology, fund a payout reserve and publish clear rules. No EU-wide prop firm rule existed as of November 2026 that we could find, so get a written opinion.
Which kind of prop firm do you mean?
Two very different businesses share the name, so be clear which one you are building. Everything below assumes the second.
| Model | How it makes money | Legal starting point |
|---|---|---|
| Traditional proprietary trading firm | Trades its own capital through employed or contracted traders | Depends on activity and venue. Ask a securities lawyer |
| Retail evaluation firm | Sells fee-based challenges, usually on simulated accounts, and pays a share of simulated or copied profits | Unsettled, as the next section explains |
Forex and futures evaluations differ in practice. Forex evaluations usually run on broker-style platforms with simulated accounts. Futures evaluations depend on exchange-listed products and market data licences, and they often sell into the US, so commodities questions come up sooner.
Where does the law stand?
The law is unsettled, so be wary of anyone who tells you otherwise. Whether a paid challenge with simulated trading and discretionary payouts is an investment service, a training product, a game or something else has no consistent answer across countries. This is what we found on 1 November 2026.
| Region | What we found | What it means for you |
|---|---|---|
| EU level | No dedicated rule, and nothing specific in ESMA's news feed from July to October 2026 | Each country can reach its own view |
| Belgium | FSMA warned in March 2024 that prop trading firms hold no authorisation and may not provide investment services. It also warned about firms around them, such as course sellers | A national regulator has taken a firm public position |
| Italy | Consob warned in July 2024 about paid challenges, citing reports on test difficulty and unpaid profits. It noted similar warnings in Belgium and Spain | Expect complaints to drive attention |
| Cyprus | Nothing specific in CySEC's recent circulars for investment firms | A Cyprus company is not a licence. Providing investment services needs authorisation |
| UK | No dedicated regime that we found. The FCA's warning list includes some funded-trading names as unauthorised firms | Whether promotion rules bite depends on your product. Take advice |
| US | The CFTC's case against the firm behind My Forex Funds was dismissed with prejudice on 13 May 2025, as a sanction | The court made no ruling on whether the model is lawful |
Our check covered those feeds and warnings. It was a review of what regulators published, and it is no substitute for legal advice. Trade blogs have also reported new US, UK and EU statements in the third quarter of 2026. We could not find them on ESMA's or the CFTC's own news pages, so we do not rely on them, and you should check them directly.
The US case deserves a careful reading. The order adopted a special master's recommendation to grant sanctions and dismiss the complaint. A November 2025 commentary published by Today's General Counsel stressed that the ruling turned on the regulator's procedural failings and did not clear the company of the allegations, which included misleading customers about live versus demo trading.
Six design decisions that shape your legal risk
Your legal position depends on how the product works, far more than on what you call it. Decide these before you build.
- Simulated or live. Say which, on every page. If trades are copied to a live account, explain how and when.
- Counterparty. Who is on the other side of any live trade? A link to a broker raises questions about who is really providing the service.
- Source of payouts. Payouts funded mainly by new evaluation sales are the weakest position, for customers and for you.
- Rule stability. Publish rules with version dates. Applying new rules to customers who already paid is a common complaint and a real legal risk.
- Discretion. FSMA criticised firms for setting conditions alone, leaving consumers unable to tell whether they are owed anything. Remove discretion wherever you can.
- Countries. Decide where you will not sell, in line with your legal opinion, and enforce it at checkout.
"Educational" labels deserve a warning of their own. Calling the product training or a skills assessment does not settle its legal character. Regulators look at substance.
The steps, in order
- Get a written legal opinion covering your five largest intended markets. Expect it to contain caveats.
- Form the company. In Cyprus the official fees are EUR 10 for the name and EUR 165 for incorporation, as our guide to registering a Cyprus company explains.
- Secure banking and payments early. Providers will ask how the model works. Expect the bank account to be the slowest step.
- Choose technology. Trading platform, evaluation engine, CRM and KYC. Plan for losing a supplier. Finance Magnates reported industry estimates of 80 or more prop firm closures in 2024 to 2026, many after MetaQuotes withdrew platform support.
- Model the payout liability and fund a reserve. Our guide to what a prop firm costs to start includes a worked example.
- Write the rulebook in plain language, with examples.
- Build KYC, AML and sanctions checks before any payout.
- Set up complaints and payout operations. Named owners, target times, a public route.
- Prepare marketing, starting with what you will refuse to say. See prop firm marketing.
Should you get a licence anyway?
A licence is worth considering if you want banks, partners and serious customers to take you seriously, or if you plan a live trading stage. It does not fit every model. A Cyprus Investment Firm dealing on own account needs EUR 750,000 of initial capital, as our guide on starting a forex brokerage sets out, and it brings full conduct rules with it.
A smaller decision can come first: run your rules and disclosures as if a regulator will read them, because one might.
What to do this week
Write a two-page description of how money moves through your model, from the customer's first payment to a payout. Show where trades go, who decides, and what happens in a bad month. Take that document to a lawyer. It will save hours of billable time, and it will show you whether the business you have in mind is one you want to run.
When you reach the marketing stage, our fintech and forex SEO service can help you build a site that explains the product honestly. We have no prop firm case study to show you, so judge us on the plan.

Frequently asked questions
How do you start a prop firm company?
Form a company only after you have legal advice on the model. Registering a Cyprus company costs EUR 175 in official fees and gives you a legal entity, nothing more. It carries no permission to provide investment services.
How do you start a forex prop firm?
Most forex evaluations run on simulated accounts priced from a broker or data feed. You need a trading platform, an evaluation engine, KYC, payment acceptance and clear rules. Confirm first that your evaluation and payout design does not amount to a regulated service in your markets.
How do you start a futures prop firm?
Futures evaluations depend on exchange-listed products, market data licences and often a US customer base, so US commodities questions arise early. Take advice from a lawyer who works with CFTC and NFA matters before you commit to a design.
How do you start a prop firm with no money?
You cannot do it responsibly. Technology can be rented, but payouts are a promise that has to be funded. Selling evaluations with no reserve means early buyers depend on later sales, and that is a risk to customers as well as to you.
How do you start a prop firm business with partners?
Agree roles, capital and control of client funds in writing before launch. Separate the people who set trading rules from the people paid on evaluation sales. Investors should see the reserve policy, the legal opinion and the payout assumptions.
